THIS SWEEPSTAKES IS NOT OPEN TO THE GENERAL PUBLIC. TO ENTER, YOU MUST BE AN ATTENDEE AT THE NGA TRADE SHOW BEING CONDUCTED AT CAESARS FORUM CONVENTION CENTER, LAS VEGAS, NV MARCH 10TH – MARCH 12TH, 2024 (THE “EVENT”).

These Official Rules (copies of which are available at booth 700) apply to the Fresh Consumables™ “NGA Tradeshow” Sweepstakes (“Sweepstakes”) being conducted by Fresh Consumables (“Sponsor”). This Sweepstakes begins Sunday, March 10, 2024 and ends at 2:00PM Pacific Time on Tuesday, March 12, 2024, and will only be open to entry during Event hours of operation (the “Sweepstakes Period”).

By entering this Sweepstakes, you are agreeing to receive Fresh Consumables™ marketing emails. However, you may opt out of receiving such emails by clicking on the “unsubscribe” link in the footer of the emails that you receive. By entering into this Sweepstakes, you agree to Fresh Consumables™ use of your personal information.

By entering this Sweepstakes, you agree to be bound by these Official Rules.

ELIGIBILITY:

The Sweepstakes is open only to legal residents of the fifty (50) United States, including the District of Columbia, who are at least 18 years of age or the age of majority in the state the entrant resides, whichever is older at the time of entry and is in attendance at the Event (the “Entrant”). Employees of Sponsor, its respective subsidiaries, affiliates, Prize (as defined below), suppliers, and advertising and promotion agencies, and their immediate families (spouse, parents, children, siblings and their respective spouses) and individuals living in the same households of such employees are not eligible to receive a Prize.

TO ENTER:
A) Visit the Fresh Consumables™ booth #700 during regular booth hours.
B) Complete the in-person form available at the booth with all required information and submit.

The Event clock will be the timekeeper for the Sweepstakes. All entries become the property of the Sponsor and will not be acknowledged or returned.

No responsibility is assumed by Sponsor for lost, late, misdirected, illegible, incomplete, stolen, or mutilated entries or for any computer, online, telephone or technical malfunctions that may occur. Entries will be declared by name that appears on the entry form submitted at the time of entry.

LIMIT: One (1) entry per person during the entire Event.

SWEEPSTAKES DRAWING:

A random drawing, from all eligible entries received during the Event, will be conducted on or about Monday, March 18, 2024, under the direction of the Sponsor, whose decisions are final and legally binding in all matters relating to this Sweepstakes. The odds of winning depend upon the total number of actual eligible entries received during the Event.

AVAILABLE PRIZE/APPROXIMATE RETAIL VALUE (“ARV”): $1,500

ONE (1) Prize:

Winner will receive eight (8) hours of FREE Fresh Consumables™ studio usage, with one (1) Fresh Consumables™ photographer/videographer OR one (1) photoshoot execution with up to twenty (20) tabletop finished shots (whichever comes first). Prize also includes hotel accommodations for two (2) nights for one (1) winning company representative. All product and materials to be used during the execution must be shipped to and from the Fresh Consumables™ studio location at the expense of the winner. Prize does not include any additions such as, but not limited to, paid talent or non-studio props.

The prize is non-transferable. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the winner. No substitution of Prize or transfer/assignment of Prize to others or request for the cash equivalent by winner is permitted. Acceptance of Prize constitutes permission for Fresh Consumables™ to use winner’s name, likeness, company, title, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

You do not have to be present to win. NOTE: Studio usage expires on 12/31/24. After 12/31/24 the Prize expires with no additional compensation due the Winner.

All expenses not included in the above Prize description are at the sole expense of the Winner.

LIABILITY DISCLAIMERS:

SPONSOR MAKES NO WARRANTIES, AND HEREBY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, CONCERNING THE PRIZE FURNISHED IN CONNECTION WITH THIS SWEEPSTAKES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZE IS PROVIDED AND AWARDED BY SPONSOR WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

BY ACCEPTING ANY PRIZE, EACH ENTRANT AGREES TO RELEASE AND HOLD HARMLESS SPONSOR AND ITS RESPECTIVE AFFILIATES, SUBSIDIARIES, AGENTS, REPRESENTATIVES, PROMOTION AND ADVERTISING AGENCIES, AND THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS AND AGENTS (COLLECTIVELY “RELEASEES”), HARMLESS FROM ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS AND ACTIONS OF ANY KIND IN CONNECTION WITH THIS SWEEPSTAKES OR RESULTING FROM ACCEPTANCE, POSSESSION, OR USE OF ANY PRIZE, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH, AND PROPERTY DAMAGE, AND CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, OR INVASION OF PRIVACY.

NOTIFICATION OF WINNER/WINNER DOCUMENTATION:

Prize winner will be sent his or her Prize notice via email within five (5) days of the drawing. The Prize will be forfeited if the winner is in non-compliance with these Official Rules or if selected potential winner cannot be contacted, provides incorrect email or mailing address, is ineligible, fails to claim the Prize, or if the Prize notification or Prize is returned as undeliverable. In that event, an alternate winner will be randomly selected from all remaining eligible entries received.

By entering this Sweepstakes, you authorize Sponsor and its contractors to list your name and state on the Winner’s List, pending eligibility confirmation, should your entry be drawn.

The prize winner of a prize valued at $600 or more will be required to complete and return an Affidavit of Eligibility/W-9 tax payer identification form, Release of Liability, Prize Acceptance Form, and, if legally permissible, a Publicity Release (collectively “Prize Documents“). Prize Documents will be emailed by the Administrator to the potential prize winner and the potential prize winner must complete and return such executed documents by email within four (4) calendar days (including Saturdays, Sundays and holidays) of attempted delivery of same. Noncompliance within any stated time period or return of any prize/prize notification as undeliverable will result in disqualification without further notice and an alternate Winner may be selected, time permitting.

Acceptance of the Prize by the Prize winner constitutes permission by such person for Sponsor to use the winner’s name, voice, likeness, company, title and prize won along with his or her address (city and state) and the right to use and publish their entries, proper name, any statements made or attributed to such winner, and any posting photographs, descriptions or messages, uploaded files, inputted data, or engaging in any other form of communication with or through the Sponsor’s website (collectively, the “Attributes”) in any and all media, including the winners list, unless otherwise prohibited by law. This will include, but is not limited to, media now known or hereafter devised, without notice, review or approval, in perpetuity and throughout the world for advertising and promotional purposes in connection with this Sweepstakes without further consideration, compensation, and the winner hereby releases Sponsor from all and all claims arising out of the use of such Attributes whatsoever.

GENERAL CONDITIONS:

ALL TAXES, FEES AND SURCHARGES ON THE PRIZE WON (IF ANY) ARE THE SOLE RESPONSIBILITY OF THE WINNER. These Official Rules and the decision of the Sponsor are final and legally binding on all matters relating to the Sweepstakes. Releasees are not responsible for printing or typographical errors in any Sweepstakes-related materials; for stolen, lost, late, misdirected, damaged, incomplete, inaccurate entries, or for transactions that are lost, misdirected, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including, paper transfer, human or other error. If in Sponsor’s sole opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Sweepstakes, or unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion to disqualify any individual Sponsor believes has tampered with the entry process and/or void any entries Sponsor believes to have been submitted fraudulently, to modify or suspend this Sweepstakes, or to terminate this Sweepstakes and conduct a random drawing to award the Prize using all non-suspect entries received as of the termination date. Moreover, Sponsor reserves the right to rescind or change these Official Rules or this Sweepstakes at any time without notice unless otherwise prohibited by applicable law. ANY ATTEMPT BY YOU OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. This Sweepstakes is conducted in English (which will be given its everyday ordinary meaning). By entering this Sweepstakes, you hereby agree that (a) any and all disputes shall be resolved in the appropriate state and federal courts in the State of Tennessee, exclusively, and subject to the laws of the State of Tennessee (and should there be a conflict between the laws of the State of Tennessee and any other laws, the conflict will be resolved in favor of the laws of the State of Tennessee), (b) you irrevocably waive any objection, which any of them may now or hereafter have to the bringing of any such action or proceeding in such respective jurisdictions, including any objection to the laying of venue based on the grounds of forum non conveniens and any objection based on the grounds of lack of in personam jurisdiction, and (c) IN ANY LITIGATION ARISING FROM OR RELATED TO THIS SWEEPSTAKES, YOU HERETO AND HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVE THE RIGHT YOU MAY HAVE TO A TRIAL BY JURY WITH RESPECT TO ANY LITIGATION BASED HEREON, OR ARISING OUT OF, UNDER OR IN CONNECTION WITH THIS SWEEPSTAKES, OR ANY COURSE OF CONDUCT, COURSE OF DEALING, STATEMENTS (WHETHER ORAL OR WRITTEN) OR ACTIONS OF EITHER PARTY RELATING TO THIS SWEEPSTAKES. You may not assign, transfer or otherwise delegate any obligation you have under these Official Rules without Sponsor’s prior written approval, which such approval may be withheld by Sponsor in its sole discretion. The failure of Sponsor to enforce, insist upon, or comply with any of the terms, conditions or covenants of these Official Rules or the Sweepstakes, or Sponsor waiver of the same in any instance or instances shall not be construed as a general waiver or relinquishment of any such terms, conditions or covenants, but the same shall be and remain at all times in full force and effect. You acknowledge that you have carefully reviewed these Official Rules, that you have been advised with regard to the subject matter hereof by you legal counsel selected by you if you so choose to seek such counsel, and that these Official Rules and any uncertainty or ambiguity herein and therein shall not be construed against Sponsor as drafter. Should any provision, portion or application thereof, of these Official Rules be determined by a court of competent jurisdiction to be illegal, unenforceable or in conflict with any applicable laws, an equitable adjustment to the affected provisions of these Official Rules with a view toward effecting the purpose of these Official Rules and the validity and enforceability of the remaining provisions, portions or applications thereof, shall not be impaired.
